1. Who we are and when these terms apply
CueLoad is provided by MB AE Motors, company code 307601914, VAT code LT100020138218, registered address Svirbygalos g. 13A-9, LT-46280 Kaunas, Lithuania (“CueLoad”, “we”, “us”). Contact: info@cueload.com.
These terms apply to the CueLoad app at https://app.cueload.com and the website at https://cueload.com (together, the “Service”). By creating an account you accept these terms and the Privacy Policy. The person who creates an organization also accepts the Data Processing Agreement for it; the DPA is part of these terms and needs no separate signature.
If you accept these terms for a company or another organization, you confirm that you may do so on its behalf. In these terms “customer” or “you” means that organization, and “team members” means the people it lets use its CueLoad organization.
CueLoad is a tool for businesses and professionals. Where consumer protection law applies to you, nothing in these terms limits the rights that law gives you.
2. The Service
CueLoad helps event technology teams and rental companies run their equipment: warehouse, equipment lists per project, real-time availability, loading and returns on the phone, quotes and team roles. The current list of features is on the Features page.
The Service runs in a web browser and can be installed on a phone as a web app. It needs an internet connection. We improve the Service over time, so features can change; we will not remove a core feature you pay for without telling you in advance.
3. Accounts, organizations and roles
- Each account belongs to one person. Keep your password safe and do not share your account. Tell us at once if you think someone else has access to it.
- Give correct information when you sign up and keep your email address up to date: we use it for sign-in codes and important notices.
- One account can belong to several organizations (for example a freelancer working for several companies).
- The person who creates an organization becomes its owner. Owners and admins invite team members and give them roles (owner, admin, planner, warehouse, crew). Roles decide what each person can see and change.
- The customer is responsible for whom it invites, which roles it gives and what its team members do in its organization. Remove people who should no longer have access.
4. Free trial
A new organization starts with a free trial with every feature. No card is needed. The length of the trial is shown on the Pricing page when you create the organization (currently 14 days).
When the trial ends and no subscription has started, the organization becomes view-only (section 8). Nothing is deleted.
5. Subscription and payment
- After the trial, an organization needs a paid subscription to keep making changes. Which roles are paid seats is shown on the Pricing page; prices are shown there once published, and always at checkout before you pay. Crew accounts are free.
- Prices are shown without VAT. VAT or other taxes are added where the law requires it, based on your billing details.
- Payments are handled by Stripe. Your card details go directly to Stripe; CueLoad never sees or stores them.
- The subscription renews automatically at the end of each billing period shown at checkout, until it is cancelled (section 7).
- The number of paid seats follows the number of team members with paid roles. When it changes during a billing period, Stripe adjusts the amount in proportion to the time left.
- Owners and admins manage the subscription, billing details and invoices on the Subscription page of the app.
6. Price changes
We may change prices. We will tell owners and admins by email at least 30 days before a new price applies. The new price applies from the next billing period after that date. If you do not agree, you can cancel before the new price applies.
7. Cancellation and refunds
You can cancel at any time. Owners and admins cancel on the Subscription page of the app (managed by Stripe) or by writing to info@cueload.com. After cancelling, the subscription stays active until the end of the period you have already paid for, and you are not charged again. We do not refund payments for a period that has started, including unused days or seats, unless the law requires a refund. When the paid period ends, the organization becomes view-only and your data stays (section 8).
If you think you were charged by mistake, write to info@cueload.com within 30 days of the payment and we will look at it.
8. When the trial ends or a payment is not made
If the trial has ended without a subscription, a subscription has ended, or a payment has failed and is still unpaid after Stripe's retries, the organization becomes view-only:
- everyone can still sign in and see the organization's data, as their role allows;
- creating and changing projects, equipment, loading and the warehouse is blocked; a few actions stay available, such as subscribing and managing team members;
- nothing is deleted – starting a subscription brings back full access with all data.
Data of an organization that stays without a subscription is kept as described in the Privacy Policy.
9. Your data
- Everything your organization puts into CueLoad – equipment, projects, clients, team members, photos, documents – belongs to the customer (“Customer Data”).
- We use Customer Data only to provide and improve the Service for you, to keep it secure and when the law requires it. We do not sell it and do not use it for advertising.
- For personal data in Customer Data, the customer is the controller and we are the processor. The Data Processing Agreement sets out how we handle it.
- You can get a copy of your organization's data in a common machine-readable format by writing to info@cueload.com.
- You are responsible for having the right to put personal data into CueLoad, for example information about your team members or your clients' contact people.
10. Acceptable use
You and your team members must not:
- break the law or other people's rights with the Service, or upload content you have no right to use;
- try to get into accounts, organizations or data that are not yours, or test the Service's security without our written permission;
- upload malware, overload the Service or disturb other customers' use of it;
- copy, resell or rebuild the Service, or collect its content automatically, except for exporting your own data;
- share one account between several people.
If someone breaks these rules, we may suspend the account or organization concerned. We will tell you why and, where possible, give you time to fix the problem first.
11. Availability and support
We work to keep CueLoad available and fast, but we do not promise that it will always be available or free of errors, and we offer no service level agreement. Planned maintenance is done at quiet times where possible. The Service depends on the internet and on our suppliers (Subprocessors). Without a connection the app shows “No connection” and stops actions until it is back.
Support is by email at info@cueload.com.
12. Liability
- CueLoad is a planning tool. The customer remains responsible for checking that the right equipment is loaded, delivered, safe and returned.
- We are not liable for indirect or consequential loss, such as lost profit, lost revenue, lost business or a cancelled event.
- Our total liability for all claims within any 12 months is limited to the amount the customer paid us for the Service in those 12 months.
- These limits do not apply where the law does not allow liability to be limited, including for damage caused intentionally or through gross negligence.
13. Intellectual property
The CueLoad software, name and design belong to MB AE Motors. While your organization uses the Service, you and your team members may use it for your organization's work. If you send us ideas or feedback, we may use them without obligation to you.
14. Changes to these terms
We may update these terms, for example when the Service or the law changes. We will tell you about important changes at least 30 days before they apply – by email or in the app – and show the new version here with its date. The app asks every user to accept the new version. If you do not agree, you can cancel (section 7) before the change applies; using the Service after that date means you accept the new terms.
15. Ending the agreement
You can stop using CueLoad at any time. To close an organization or an account, write to info@cueload.com from the owner's or the account's email address. We may end the agreement if the customer seriously breaks these terms and does not fix it within 14 days of our notice, or if the law requires it.
When an organization is closed, we return or delete its data as described in the Data Processing Agreement.
16. Governing law and disputes
These terms are governed by the law of the Republic of Lithuania. We will first try to solve any disagreement by talking to you. If that does not work, disputes go to the competent courts of the Republic of Lithuania, unless the law gives you the right to go to a court in your own country.
